These Terms of Use (“Terms”) constitute a binding contract between you (“User”) and PlanetDB (“we”, “us”, or “our”) governing your access to and use of the Makor online directory (“Platform”).

Please read these Terms carefully before using the Platform or creating an account. By accessing or using the Platform, including registering an account (“Account”), you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using the Platform.

Acceptance of Terms:

Your continued use of the Platform, including accessing, browsing, or obtaining data in any form, constitutes your irrevocable acceptance of these Terms. By accessing and using the Platform on behalf of another person, such as a company, you represent and warrant that you have the authority to bind such person to these Terms and that such person is bound by these Terms by your acceptance.

Modifications to Terms:

We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Platform following any modifications constitutes your acceptance of the modified Terms. You are encouraged to review the Terms regularly for updates.

1. User Registration and User Account

1.1 Registration

To access certain services provided by PlanetDB and the platform, you may be required to register. You must provide a valid email address, password, website username, mobile phone number, and your name to complete the registration process. You acknowledge and agree that:

You are solely responsible for all activities that occur under your account, including the use of your username and password.
You are solely responsible for safeguarding your password and maintaining the confidentiality of your account credentials.
You must immediately notify us if you suspect any unauthorized access or compromise of your account. We will work with you to resolve the issue.

1.2 Account Limitations:

Only one account is allowed per individual user.
Simultaneous access to an individual account by multiple users is not permitted.
Corporate accounts may allow access for one authorized employee on behalf of the corporation.

1.3 Account Termination:

We reserve the right to suspend or terminate your account, at our sole discretion and without prior notice or liability, for any reason, including but not limited to:

Unusual or suspicious activity associated with your account, such as spamming or hacking.
Violation of these Terms of Service.
Selling data obtained from the Platform for harmful or illegal purposes.
Selling or providing data obtained from the Platform to third-party companies.
Engaging in data scraping activities.

1.4 Removal of Content:

Upon termination of your account, we may remove or discard any content associated with your account from the Platform.

2. Accuracy of Information and Data

The information and data published on the Platform are provided for informational purposes only and may contain technical, typographical, or photographic errors. While we strive to ensure the accuracy, completeness, and timeliness of the information and data, we do not warrant or guarantee it. We reserve the right to make changes to the information and data at any time without prior notice. However, we are not obligated to update any outdated information or data.

You acknowledge and agree that by using the Platform, you are relying on the information and data at your own risk. We disclaim any and all liability for any loss or damage you may incur as a result of relying on the information and data. We encourage you to conduct your own research and due diligence before making any decisions based on the information and data provided on the Platform.

3. Limitation of Liability and Disclaimer

Your access to and use of the Platform is at your own risk. We do not provide any warranties or guarantees that the Services available through the Platform will be uninterrupted, error-free, or meet any specific requirements. To the fullest extent permitted by law, we, our officers, employees, agents, and contractors expressly disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or in connection with your access or use of the Platform, or any content or information you obtain through the Platform, even if we have been advised of the possibility of such damages.

We are not responsible for any viruses or other harmful code that may be downloaded from the Platform. You are responsible for implementing sufficient procedures and precautions to protect your devices from such threats.

This limitation of liability applies to the fullest extent permitted by law and shall survive any termination or expiration of these Terms of Service.

4. Advertising

The Platform may display advertisements from Google AdSense or other third-party advertising publishers. While we strive to ensure the quality and relevance of these advertisements, we do not endorse or monitor their content. Furthermore, we are not responsible for the accuracy, reliability, or legality of any information contained within the advertisements.

You acknowledge and agree that your interaction with any advertiser found on the Platform, including any reliance on their content, is solely at your own risk. We encourage you to conduct your own research before engaging with any advertised products or services.

5. Indemnification

You agree to defend, indemnify and hold harmless the following parties against any and all losses, expenses, costs, claims, damages, and fees arising from or incurred as a result of your use or misuse of the Platform, or any violation of these Terms of Service:

Us, including but not limited to our owners, managers, officers, affiliates, employees, licensors, and suppliers.
Any other user of the Platform who suffers harm as a result of your actions.

This indemnification obligation includes, but is not limited to, losses arising from:

Breach of these Terms of Service.
Violation of any applicable law or regulation.
Prohibited Activity as defined in Section 6.
Infringement of any intellectual property rights.
Defamation or other harm to the reputation of any party.

You agree to cooperate fully in any defense against any claim arising out of your use or misuse of the Platform. You are also responsible for all costs and expenses incurred in such a defense, including attorney’s fees.

6. Prohibited Activities

Automated Data Extraction: You are prohibited from using any automated tools, machines, robots, software, or scripts to systematically retrieve or extract data from the Platform. This includes, but is not limited to, web scraping, data mining, and crawling.
Harassment and Misuse: You are prohibited from using any information or data obtained from the Platform to harass, abuse, harm, or spam any company or individual. This includes, but is not limited to, sending unsolicited emails, making threatening or offensive statements, and engaging in any conduct that violates the privacy or safety of others.
Illegal Activities: You are prohibited from using any information or data obtained from the Platform in any activity that violates any applicable laws and regulations, including, but not limited to, privacy laws, data protection laws, and anti-spamming laws.
Circumventing Security Measures: You are prohibited from attempting to bypass any security measures of the Platform designed to prevent or restrict access to the website or any portion of it. This includes, but is not limited to, hacking, cracking, and using unauthorized access methods.
Account Security: You are prohibited from attempting to obtain the password, username, or other security information from any other user. This includes, but is not limited to, phishing, social engineering, and brute-force attacks.
Data Reselling and Sharing: You are prohibited from selling or sharing the information and data obtained from the Platform with any third party, including, but not limited to, house agents, insurance agents, car dealers, marketing agencies, and competitors. This includes selling, sharing, or offering to sell or share account access.
Malicious Activity: You are prohibited from using any script or malicious code to attack or brute-force the website and the server. This includes, but is not limited to, denial-of-service attacks and SQL injection attempts.
Website Framing: You are prohibited from creating frames around our website pages that alter in any way the visual presentation or appearance of the Platform.

7. Changes to the Platform

We reserve the right to, at any time and without prior notice:

Modify the functionality and/or appearance of the Platform. This includes changes to features, layout, design, and accessibility.
Change, suspend, or discontinue any of our Services. This may be necessary for maintenance, upgrades, or other unforeseen circumstances.
Adjust our pricing. We will provide reasonable notice of any price changes, to the extent permitted by law.

These changes may be necessary to improve the Platform, address technical issues, or comply with legal requirements. You agree that your continued use of the Platform constitutes your acceptance of any such changes.

8. Privacy Policy

Your credentials, registration data, and any other information you provide during the registration process or while using the Platform are subject to our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference and outlines the types of information we collect, how we use it, and your choices regarding your data. By using the Platform, you acknowledge that you have read, understood, and agree to be bound by the Privacy Policy.

9. Subscription

To ensure uninterrupted access to services for paid subscribers, automatic renewal is enabled by default. Upon reaching the end of the current subscription period, your subscription will automatically renew for a period equal in length to the original subscription period. The renewal price will be the same as the original price, subject to applicable tax changes and excluding any introductory discounts or promotions offered during the initial subscription period. If payment processing for the renewal fails, your subscription will be downgraded to the free plan. Lifetime subscriptions do not have automatic renewal enabled.

10. Suspension and Termination

We reserve the right, in our sole discretion and without prior notice, to:

Terminate these Terms. This will result in the termination of your access to and use of the Platform and all Services.
Suspend your right to access or use any portion or all of the Services. This may be temporary or permanent, depending on the severity of the violation or other circumstances.

Upon termination or suspension:

You must immediately cease all use of the Services.
No refunds will be issued for any unused portion of your subscription, if applicable.
We will not be liable for any damages you may incur as a result of the termination or suspension.

Reasons for termination or suspension may include, but are not limited to:

Violation of these Terms of Use.
Failure to comply with the Privacy Policy.
Fraudulent or illegal activity.
Abuse of the Platform or Services.
Non-payment of subscription fees.
Any other reason deemed appropriate by us.
